1. Definitions

Services
The proprietary AI-assisted legal drafting software and infrastructure provided by AdvocatePro.
User Data
All documentation, metadata, and case files uploaded by the Client to the Platform.
The Company
Legal AI Coding Private Limited, the entity providing the legal technology solutions.
The Client
The legal entity or professional entering into this commercial arrangement.

2. Licence Grant

Subject to compliance with these terms, the Company grants the Client a limited, revocable, non-transferable, and non-exclusive licence to access and use the Platform for internal professional purposes.

This licence is intended for the specific number of seats or volume of documents defined in the Client's active subscription tier.

3. Usage Restrictions

The Client and its authorised users shall not:

  • Reverse engineer or decompile the Platform architecture.
  • Attempt to extract proprietary system prompts or heuristic models.
  • Replicate the core UI/UX or drafting workflow for competitive use.
  • Resell or sublicence Platform access to unauthorised third parties.

4. Fees & Payment

Services are provided on a recurring subscription basis. By subscribing, the Client agrees to:

  • Standardised or bespoke pricing as per the selected service tier.
  • Automatic renewal of terms unless explicitly terminated in writing.
  • Applicable penalties and potential suspension for late payments exceeding 15 days.

5. Warranties Disclaimer

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. The Company makes no warranties regarding:

  • The 100% legal accuracy of AI-generated content.
  • Guaranteed acceptance of documents by any specific Court or Registry.
  • The successful outcome of any litigation or legal strategy derived from the Platform.

6. Limitation of Liability

The Company's maximum aggregate liability for any dispute arising out of this MSA shall be limited to the fees actually paid by the Client in the three (3) months preceding the event.

The Company shall not be held liable for:

  • Court rejections or procedural defects in filed documents.
  • Missed limitation periods or statutory deadlines.
  • Any direct or indirect litigation losses.

7. Termination

Either party may terminate this agreement if the other party:

  • Commits a material breach of terms that remains uncured for 30 days.
  • Fails to make payments as per the agreed schedule.
  • Becomes the subject of insolvency or bankruptcy proceedings.
